Terms & Conditions
1. Introduction
1.1 These Terms & Conditions (“Terms”) govern your access to and use of our website (the “Site”) and any services or products offered by Precise Agronomy Ltd in relation to the Site.
1.2 By using or accessing the Site (including placing an order), you agree to these Terms. If you do not agree, you must not use the Site or place orders.
1.3 These Terms are in addition to our Privacy Policy and Accessibility Statement which also apply to your use of the Site.
2. Our Services and Products
2.1 We provide agronomy consultancy services and supply selected agriculture‐related products (e.g., chemicals, seeds, custom seed mixes) in New Zealand.
2.2 When you place an order for products or contract services, you must provide accurate information and comply with any instructions we give you.
2.3 All orders are subject to acceptance by us. We may refuse or cancel any order for any reason (e.g., unavailability of product, incorrect pricing, or inability to supply to your location).
3. Pricing and Payment
3.1 Prices posted on the Site (or otherwise quoted) are in New Zealand dollars and exclude any applicable taxes (unless otherwise stated).
3.2 We reserve the right to change prices at any time; however, such changes will not affect any order already accepted by us.
3.3 Payment terms will be clearly stated at the time of purchase. You agree to pay all applicable fees and charges.
3.4 If you fail to pay on time, we may suspend delivery, cancel your order, or require payment in advance.
4. Delivery and Risk
4.1 For product orders, we will make reasonable efforts to deliver the goods to the address you specify. Delivery times are estimates only and we are not liable for any delays.
4.2 Risk in the goods passes to you when they leave our premises (or when you pick them up, whichever is applicable). Title (ownership) may not pass until we have received payment in full.
4.3 You must inspect the goods on delivery and notify us in writing of any damage, defect or shortfall within a reasonable time. Failure to do so may limit your rights.
5. Returns, Refunds & Warranty
5.1 If products are faulty or not as described, you may have rights under the New Zealand Consumer Guarantees Act 1993. We will deal with any claim in accordance with that Act.
5.2 Unless there is a statutory right, we do not accept returns of perishable, custom‐mixed or specially ordered goods unless agreed in writing.
5.3 Our agronomy services are provided to the best of our ability, using expertise, but farming outcomes can never be guaranteed. We do not warrant specific crop yields or results.
6. Your Responsibilities
6.1 You warrant that any information you supply to us is accurate and complete.
6.2 You agree to comply with all relevant laws and regulations in relation to using our products (especially chemicals) and services, including safe usage and application procedures.
6.3 You must follow proper storage, handling, and application instructions, and any health & safety requirements.
6.4 You indemnify us from any loss, damage or liability resulting from your misuse of our products or failure to follow instructions or applicable law.
7. Intellectual Property
7.1 All intellectual property rights in the Site (content, design, graphics, branding) are owned or licensed by us.
7.2 You may use the Site for your personal/business use only. You must not reproduce, distribute, modify or create derivative works of our materials without our prior written consent.
8. Limitation of Liability
8.1 To the maximum extent permitted by law, we exclude all liability for indirect, special or consequential losses (including loss of profits, loss of business, crop loss, etc.).
8.2 Our total liability to you for any claim arising under or in connection with these Terms or our products/services is limited to the amount paid by you for the relevant service or product.
8.3 Nothing in these Terms excludes or restricts your rights under the New Zealand Consumer Guarantees Act 1993 or other non‐excludable statutory rights.
9. Privacy & Data
9.1 We collect, store and use your personal information in accordance with our Privacy Policy.
9.2 By using the Site or providing information, you consent to the collection and handling of your personal data as described in our Policy.
10. Termination
10.1 We may suspend or terminate your access to the Site or cancel orders at any time, without notice, for any reason (including breach of these Terms).
10.2 Upon termination, all rights granted to you cease and you must discontinue any use of the Site content.
11. Amendments
11.1 We may update or revise these Terms from time to time. The version posted on the Site applies from the date of posting.
11.2 Your continued use of the Site after changes constitute your acceptance of the updated Terms.
12. Governing Law & Jurisdiction
12.1 These Terms are governed by the laws of New Zealand.
12.2 You submit to the non‐exclusive jurisdiction of the courts of New Zealand in respect of any dispute.
13. General
13.1 If any part of these Terms is held invalid or unenforceable, the remainder will continue in full force and effect

13.2 These Terms, together with our Privacy Policy and other terms notified to you, constitute the entire agreement between you and us regarding use of the Site and our services/products.
13.3 No waiver of any breach will be effective unless in writing and signed by us.
